These Terms of Service ("Terms") constitute a legally binding agreement between you ("Scholar", "you") and Eloquentia Academy of Languages UK Ltd ("Eloquentia UK", "we", "our"), a company registered in England and Wales under Company No. 10876543. By enrolling in or accessing any of our services, you confirm that you have read, understood and agree to be bound by these Terms in their entirety.

These Terms govern all educational programmes, tutoring services, digital materials and correspondence delivered by Eloquentia UK, whether accessed online or in person.

2. Enrolment & account

To access our services, you must register an account with accurate and current personal information. You must be at least 16 years of age, or have the consent of a parent or legal guardian if under 18. You are solely responsible for the security of your account credentials and for all activity conducted under your account.

• Account information must be accurate and kept up to date;
• You must not share your account credentials with third parties;
• We reserve the right to suspend or terminate accounts that breach these Terms.

3. Fees & payments

Course fees are listed in GBP inclusive of VAT at the prevailing rate. Payments are processed securely via Stripe and PayPal. We reserve the right to amend our fees at any time; changes will not affect services already purchased.

• Payment is due in full at the time of booking, unless a payment plan has been agreed;
• Instalment plans are available over 3, 6 or 12 months at no additional interest;
• Receipts and VAT invoices are issued automatically by email following payment.

4. Cancellation & refunds

You may cancel your enrolment and receive a full refund within 14 calendar days of purchase, provided that you have completed fewer than 20% of the course content. This right is consistent with the Consumer Contracts Regulations 2013 and UK consumer protection law.

• Refund requests must be submitted in writing to [email protected];
• Refunds will be processed to the original payment method within 5–10 business days;
• After the 14-day cooling-off period has elapsed, refunds are considered at our sole discretion.

5. Free lesson

New scholars are entitled to one complimentary 45-minute lesson at no charge. This session is for assessment purposes and includes an overview of the Eloquentia UK methodology. The free lesson may not be exchanged for credit, transferred to a third party or repeated.

6. Scholar obligations

You agree to use the Eloquentia UK platform solely for lawful, personal, non-commercial educational purposes. You must not:

• Reproduce, distribute or resell any course materials without our prior written consent;
• Engage in conduct that is abusive, harassing or disruptive during live sessions;
• Use automated tools to scrape, extract or download content from our platform;
• Misrepresent your identity, qualifications or affiliation.

7. Rescheduling lessons

Scheduled sessions may be rescheduled or cancelled by the scholar without penalty, provided at least 24 hours' notice is given. Sessions cancelled with less than 24 hours' notice will be charged at full rate and deducted from the scholar's lesson balance. In exceptional circumstances, Eloquentia UK tutors may reschedule a session with at least 12 hours' notice, and a replacement session shall be provided at no charge.

8. Intellectual property

All course content, teaching materials, recorded sessions, logos, branding and other intellectual property made available through the Eloquentia UK platform remain the exclusive property of Eloquentia Academy of Languages UK Ltd and are protected by UK and international copyright law. You are granted a limited, non-exclusive, non-transferable licence to access and use these materials solely for your personal study.

9. Limitation of liability

To the fullest extent permitted by applicable law, Eloquentia UK's total aggregate liability to you arising out of or in connection with these Terms shall not exceed the total fees paid by you in the 12 months preceding the claim. We shall not be liable for any indirect, incidental, special or consequential losses, loss of data or loss of profits.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded under English law.

10. Governing law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any dispute arising hereunder shall be subject to the exclusive jurisdiction of the courts of England and Wales. For scholars residing in Scotland or Northern Ireland, applicable local mandatory consumer rights remain unaffected.

11. Amendments

We reserve the right to amend these Terms at any time. Where changes are material, we will provide at least 14 days' written notice by email before the amended Terms take effect. Continued use of our services after the effective date of the changes constitutes your acceptance of the revised Terms.
